ORDER
WHEREAS on 2nd November, 1922 a certificate of incorporation
was granted to the original trustees, "SOMABHAI V. PATEL and GANGJI
PIRMOHMED and their respective Successors in office for the time being,” under
the name of THE REGISTERED TRUSTEES OF THE
INDIAN ASSOCIATION upon the conditions referred to in the certificate.
AND WHEREAS an application dated 18th May 1999 and attached
hereto has been made to me by RAJNI TAILOR for an order under section 16 of the
abovementioned Act for reasons set
in the application, notably,
“…..for registration of the Amended
and/or the 1998 revised edition of the Constitution of the Indian
Association registered on 2.11.22."
NOW THEREFORE in exercise of powers conferred upon me by the
said section, I HEREBY APPROVE the Amended and/or the 1998 revised edition of
the association's Constitution attached to the application, NOTE the
change of name to THE REGISTERED TRUSTEES OF THE INDIAN ASSOCIATION -
UGANDA and CONFIRM
the association's incorporation
in all other respects.

APPLICATION
FOR MINISTER'S ORDER
To:
The Hon. Minister
We have the honour to apply to you for an order
under Sec. 16 of the Trustees Incorporation Act Chapter 147 of the Laws of
Uganda in respect of the Certificate of Incorporation granted on the 2nd
November 1922 to the Registered Trustees of THE INDIAN ASSOCIATION OF
KAMPALA.
We attach hereto The 1998 Revised Edition of the
Constitution which sets out the nature of our interests and changes in this
matter, and the reasons for and the nature of the Order sought.
STATEMENT
1. The
Application is for registration of the Amended and/or the1998 revised edition
of the Constitution of the Indian Association registered on 2.11.22.
2. The
need for the Amendment and/or the Revised Edition was to bring the Constitution
in line with the current affairs and the Administration body in line with the
laws of Uganda.
3. The
granting of "NGO" Certificates to the Association.
4. The
necessary fees of shs. 10,000/= is sent to you herewith.

CONSTITUTION
FOR
THE
INDIAN ASSOCIATION OF UGANDA
We the
members of THE INDIAN ASSOCIATION duly convened and assembled at Swagat
Restaurant, Kampala, to consider and adopt a revised constitution for THE
INDIAN ASSOCIATION do hereby resolve in the name of all the members of the
ASSOCIATION that the constitutional proposals which have been tabled before a
Special General Meeting of THE INDIAN ASSOCIATION UGANDA, held in
Kampala this 11th Day of January 1998, with the recorded articles and amended
thereupon be adopted and do constitute the REVISED CONSTITUTION for INDIAN
ASSOCIATION UGANDA, in the general interest of the members and promotion of
activities of the Association.

ARTICLE I
ESTABLISHMENT,
APPELLATION AND COLOURS OF THE ASSOCIATION
1 01: There
is hereby established an Association to be known as "The Indian
Association - Uganda" hereinafter referred to as "the
Association".
1.02: The Association be a voluntary social
organisation of Indians residing in Uganda.
1 03: The
headquarters of the Association shall be situated in the City of Kampala,
Uganda
1.04: The colours of the Association shall be Blue and Red.
1 05: The
official language of the ASSOCIATION shall be English
ARTICLE 2
AIMS & OBJECTIVES OF THE ASSOCIATION
2.01:
The aims and objectives for
which the Association is established shall be:
a)
To promote social ,
educational , economic and cultural welfare of the Indians residing in Uganda.
b)
To promote support and
organize such activities to encourage the advancement and propagation of Indian
Culture and Philosophy.
c)
To promote and
coordinate the activities of Indian Communities in Uganda with a view to
advocating, safeguarding and protecting the interests and general welfare and
betterment of the Indians residing in Uganda.
d)
To support and foster
cultural, economic and social relationship among the people of India, between
the Ugandans and Indians of all communities residing in Uganda.
e)
To establish branches
throughout the Republic of Uganda for better administration of the
association's activities and implementation of its objectives
f)
To print, publish, or
cause to be printed and published and to distribute books, booklets,
leaflets, newsletters, magazines and other periodicals and any other mode of
communication for the purpose of giving information with regard to the work of
the association and for furtherance of its objectives
g) To establish institutions of learning, sports,
recreation, health and any other similar activities in the interest of the
Association
h)
To promote a youth wing
of the association.
i)
To coordinate and
promote the activities of other Indian communities organizations.
j)
To promote harmony and
mutual understanding amongst various organizations in the Republic of Uganda.
k)
To make representations
to the appropriate authorities to protect and safeguard the interests and well
being of the Indians in Uganda.
l)
To raise funds byway of
accepting gifts, donations or otherwise, for the association.
m)
To accept the management
of any trust fund or endowment in which the Association is interested or is
conferred with.
n)
To receive monies,
securities, instruments and I or any other moveable property for and on behalf
of the Association.
o)
To acquire, hold,
manage, develop or dispose of properties of all kinds, whether moveable or
immovable, and to derive capital or income therefrom for all or any of the
objects of the Association.
p)
To raise or borrow money
for all or any of the foregoing objects in such manner and upon such security
as may from time to time be determined by the Association members.
q)
To invest and deal with
funds of the Indian Association Uganda in such manner as may from time to time,
be determined by the Executive Committee of the Association.
r)
Generally to do all such
other things as are incidental or conducive to the attainment of the foregoing
objects or any part thereof.
ARTICLE3
DEFINITIONS
AND INTERPRETATIONS
a) "ASSOCIATION" means the Indian Association -
Uganda
b) “CONSTITUTION" means the Constitution of the Indian
Association - Uganda - original and amended thereafter
c) "INDIAN" means any male or female of Indian
origin.
d) “MEMBER" means any person whose name appears on
the register of members and is not cancelled expunged therefrom for any reason
or who has not resigned or who has not been expelled by any resolution.
e) "BRANCH" means a sub-body of the Indian
Association - Uganda recognized and established in accordance with the Aims
& Objects and Rules & Regulations of this association.
f) "EXECUTIVE COMMITTEE" means a committee duly
elected from the members of the association to manage the affairs of the
association.
g) “MEETING”
means any meeting called and held in accordance with the Constitution.
h) "TREASURER"
includes Joint Treasurer
"SECRETARY"
includes Joint Secretary.
i) In the Constitution
unless otherwise specified: -
(a)
the words implying the
masculine gender shall include feminine gender.
(b)
the words in the
singular shall include the plural and vice-versa.
j) "CALENDER YEAR"' means period of twelve
months ending on 31st December of each year
ARTICLE 4
TRANSITIONAL AND SA VING PRO VISIONS
4.0.1 Notwithstanding the revocation of the
former constitution -
a) Any power, authority or act validly exercised or done
under the former constitution shall remain fully effective as if the former
constitution had not been revoked, unless amended in accordance with new
constitution
b) Any cause or matter pending under the former
constitution shall be disposed of and determined in accordance with the
constitution.
c) The Board of Trustees of the Indian Association at the
date of commencement of this constitution shall, until replaced under and in
accordance with the provisions of this revised constitution, be deemed to be
the Trustees of the Indian Association Uganda.
d) The properties of the Indian Association will continue
to remain under the ownership of 'The Indian Association' in spite of the
change of name to 'The Indian Association - Uganda'.
ARTICLE 5
5.00: Membership
of the Indian Association shall be open to any Indian residing in Uganda who
has attained the age of 18 years.
5.01: CATAGORY
OF MEMBERS
There
shall be the following categories of members:
a)
Life members
b)
Honorary members
c)
Ordinary members
5.02: LIFE MEMBER
Life
member is one who on payment of life
membership fee decided at the Annual General Meeting shall be enrolled as a life member. A person registered
in past as the life member of the association continues to be the life member
unless expelled or has resigned
5.03: HONORARY MEMBER
An
Honorary member may be any prominent Indian on whom the trustees and the
Executive Committee confers honorary membership for his distinguished services
in conformity with the aims and objectives of the association.
5.04: ORDINARY MEMBERS
An
ordinary member is one who is duly enrolled as such in that year.
5.05:
SELECTION OF MEMBERS
a) Every proposal for life membership or
ordinary membership shall be made in writing to the Executive Committee in the
prescribed application form and handed
to the Secretary together with the Prescribed Fee. The decision of the
Executive Committee relating to the acceptance or rejection of the application
will be final and conclusive
b) Specimen of the
application form for membership is attached as Annexure I.
5.06: PRIVILEGES OF MEMBERS
a) Life
members and Ordinary members shall, subject to any restrictions prescribed bv
these rules and any by-laws made in pursuance
of these rules be entitled to all the privileges of the Association
b) Honorary
members shall not serve on the committee or vote at any meeting of the Association,
and shall likewise be subject to restrictions prescribed by these rules and
by - laws.
5.07: TERMINATION
OF MEMBERSHIP
a) BY DEFAULT IN PAYMENT OF DUE:
A member shall cease to be a member of this association
if he/she fails to pay his /her annual subscription by the 31st day
of March of each year when his/her name
shall be struck off the Register of Members.
